Terms of Service
1. Agreement to these terms
These Terms of Service (“Terms”) are an agreement between you and Minori Midori (“Minori Midori”, “we”, “us”) governing your use of the minorimidori.com website and the Minori Midori commerce platform (together, the “Service”). By creating an account, subscribing to a plan, or using the Service, you agree to these Terms. If you use the Service on behalf of a business, you represent that you have authority to bind that business, and “you” means that business.
2. What the Service is
Minori Midori is a multi-tenant commerce platform for food and produce distributors. Merchants (“Merchants”) subscribe to a plan and operate their own online storefronts on the platform. Each storefront is owned and operated by its Merchant, not by Minori Midori: the Merchant — not Minori Midori — is the seller of record for everything sold through their storefront.If you are shopping on a Merchant’s storefront, your purchase is from that Merchant and is governed by the terms published on that storefront.
3. Accounts
You must provide accurate, current information when creating an account and keep it up to date. You are responsible for safeguarding your credentials and for all activity under your account. Notify us promptly if you suspect unauthorized use. We may suspend or refuse accounts that violate these Terms.
4. Plans, fees, and billing
Merchant plans are monthly subscriptions billed in advance through our payment processor, Stripe. Current pricing is published on our pricing page. Subscriptions renew automatically each month until canceled. Fees are non-refundable except where required by law. We may change plan pricing with at least 30 days’ notice; changes take effect at your next renewal. Taxes are your responsibility where applicable.
5. Merchant responsibilities
As a Merchant, you are solely responsible for:
- the products you sell — including compliance with all applicable laws and regulations, such as food safety, labeling, licensing, and permit requirements;
- fulfilling orders, setting and honoring your own prices, terms of sale, delivery commitments, and refund practices;
- collecting and remitting any sales or other taxes on your sales;
- your customers’ personal information — publishing and honoring a privacy policy for your storefront (we provide a default you may replace), and complying with privacy laws that apply to your business;
- payment obligations under your own agreement with Stripe, including the Stripe Connected Account Agreement, if you enable card payments.
6. Your content and customer data
You retain ownership of the content you upload (product information, images, branding) and of your customer data. You grant us the license needed to host, display, process, and transmit that content and data in order to operate the Service. We process your customers’ personal information on your behalf as a service provider, as described in our Privacy Policy, and will not sell it.
7. Acceptable use
You may not use the Service to:
- break the law or infringe anyone’s rights;
- sell products that are illegal, unsafe, misbranded, or recalled;
- probe, disrupt, or circumvent the Service’s security or access data belonging to other tenants;
- send spam or deceptive communications through the Service;
- resell or white-label the Service itself without our written agreement.
8. Our intellectual property
The Service — its software, design, and the Minori Midori name and branding — belongs to us and our licensors. Your subscription gives you a limited, non-exclusive, non-transferable right to use the Service while these Terms are in effect; it does not transfer any ownership to you.
9. Third-party services
The Service depends on third-party providers — including Stripe for payments, and infrastructure providers for hosting, data storage, and email delivery. Your use of those providers through the Service may be subject to their own terms. We are not responsible for third-party services we do not control.
10. Termination
You may cancel your subscription at any time, effective at the end of the current billing period. We may suspend or terminate your access if you materially breach these Terms, if your account creates legal or security risk, or if required by law — with notice where practicable. After termination your storefront goes offline; for 30 days afterward we will make a reasonable effort to provide an export of your data on request, after which we may delete it.
11. Disclaimers
The Service is provided “as is” and “as available”, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free, or make any promise about the conduct, products, or solvency of any Merchant or shopper.
12. Limitation of liability
To the fullest extent permitted by law, Minori Midori will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. Our total liability for all claims arising out of or relating to the Service is limited to the amounts you paid us in the 12 months before the event giving rise to the claim. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
13. Indemnification
If you are a Merchant, you will indemnify and hold Minori Midori harmless from claims arising out of the products you sell, your storefront content, your handling of customer data, or your breach of these Terms.
14. Changes to these Terms
We may update these Terms from time to time. For material changes we will give Merchants reasonable advance notice (for example by email or an in-product notice). Continuing to use the Service after a change takes effect means you accept the updated Terms.
15. Governing law and disputes
These Terms are governed by the laws of the State of Florida and applicable United States federal law, without regard to conflict-of-laws rules. Any dispute that cannot be resolved informally will be brought in the state or federal courts located in Florida, and each party consents to their jurisdiction. The parties will first try in good faith to resolve any dispute informally by contacting each other.
